Terms of Service

Last updated: 29 October 2026

1. Acceptance of these terms

By creating an Artelier Business account or using the Artelier Business platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and by our Privacy Policy. If you do not agree, do not use the Service. The Service is operated by Artgence, a business established in Paris, France ("Artgence", "we", "us", "our").

2. Description of the Service

Artelier Business is a business management platform for independent artists, artist managers, and management firms. The Service includes the following capabilities, which may evolve over time:

  • Artist profiles with biography, statement, exhibitions, CV, and other career data.
  • Artwork inventory with images, dimensions, pricing, and provenance metadata.
  • Sales tracking, invoicing, payment requests, and integrated checkout powered by Stripe.
  • Certificates of authenticity and provenance records with gapless legally compliant numbering.
  • Buyer and collector relationship management ("CRM"), including inquiry capture from email, WhatsApp, and Instagram direct messages where the user opts in.
  • Opportunity tracking (residencies, grants, exhibitions, fairs, open calls, commissions, teaching, speaking, brand collaborations, public art, prizes, and other categories) and application preparation.
  • AI-assisted features (the "Business Companion"), including text drafting, document adaptation, pricing suggestions, and contextual recommendations.
  • Branded document generation (one-sheets, invoices, certificates, catalogs, application packages).
  • WhatsApp and Instagram inbound message logging tools, used only when the user enables them.
  • Google Calendar and Gmail integrations, used only when the user authorises them.
  • The Artelier Business Referral Programme, described further in Section 16.
  • Firm-level dashboards for management firms operating a roster of artists.

3. Account registration and security

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction).
  • Provide accurate, current, and complete account information.
  • Maintain the security of your credentials and notify us promptly at support@artelierbusiness.com of any unauthorised access.
  • Use only one account per person or legal entity, except that a manager account may legitimately manage multiple artist profiles under the manager-artist relationship described in Section 6.

You are responsible for all activity that occurs under your account.

4. User content and intellectual property

You retain ownership of all content you upload, including artwork images, biographical text, artist statements, CVs, project proposals, application content, buyer and contact information, and any other material you create or contribute through the Service.

You grant Artelier Business a limited, non-exclusive, royalty-free, worldwide licence to host, store, display, render, transmit, and deliver your content solely as necessary to provide the Service. This licence covers generating branded PDF outputs from your content, transmitting application materials when you direct us to, and processing content through the Service's AI features at your request. This licence ends when you delete the content or close your account, except where retention is required by law or where content has been incorporated into anonymised aggregate analytics as permitted under Section 9.

You represent and warrant that you hold all necessary rights to the content you upload and that your use of the Service does not infringe any third party's rights.

5. Acceptable use

You agree NOT to use the Service to:

  • Upload content that is illegal, defamatory, fraudulent, infringing, or otherwise harmful.
  • Impersonate any person or misrepresent your identity or affiliation.
  • Send unsolicited communications using the platform's invitation, referral, or messaging tools.
  • Attempt to gain unauthorised access to other accounts or to the Service infrastructure.
  • Reverse-engineer, scrape, or systematically extract data from the Service except through the in-app export features we provide.
  • Interfere with the Service or with other users' use of the Service.
  • Use the Service to compete with Artelier Business or to build a substantially similar product.
  • Abuse the Referral Programme, including by self-referrals, fake accounts, or any deceptive scheme.

Violation of acceptable use may result in account suspension or termination, with or without notice, and forfeiture of any pending Referral Programme commissions.

6. Manager-artist relationships

The Service supports manager accounts that manage profiles, opportunities, applications, sales, and documents on behalf of one or more artists. Managers may create artist profiles with the artist's authorisation; artists may claim those profiles at any time using the email address associated with the profile and continue managing them themselves.

Disputes about the authorisation or scope of a manager-artist relationship (including commission splits, royalties, and ownership of records) are between the manager and the artist. Artelier Business provides the tools and maintains the access controls but does not adjudicate disputes between manager and artist parties.

7. AI features and the Business Companion

The Service includes AI-assisted features ("Business Companion") that generate text, suggestions, and document drafts based on inputs you provide and information from your account. AI output is provisional and may contain inaccuracies, omissions, factual errors, or stylistic inconsistencies.

AI output does not constitute legal, financial, tax, accounting, valuation, or any other form of professional advice. Pricing suggestions, market commentary, contract templates, and similar outputs are provided for informational purposes only. You are solely responsible for reviewing, editing, verifying, and approving any AI-generated content before relying on it, submitting it to any third party, or making any business or legal decision based on it.

We strongly recommend that you independently verify AI-generated application materials, financial figures, legal language, and any other output where accuracy materially affects you or a third party. Artelier Business makes no representations or warranties about the accuracy, completeness, originality, or fitness for purpose of AI output.

8. Payment terms

If you subscribe to a paid plan, you agree to pay the applicable fees in the currency stated at checkout. Subscriptions renew automatically at the end of each billing cycle unless cancelled in advance through your account settings. We may change fees with at least 30 days' notice; changes take effect at the next billing cycle.

7-day goodwill refund. If you are a new subscriber, you may request a full refund of your first subscription payment by contacting support@artelierbusiness.com within 7 calendar days of that first payment. Where your plan included a free trial, the 7-day window begins on the first charge that follows the trial. Renewal payments after the first billing period, partial-month refunds, and subsequent subscription terms are not eligible for the goodwill refund. This goodwill policy is in addition to, and does not limit, any statutory rights you may have under applicable consumer protection law.

Payment processor. Payments are processed by Stripe, Inc., acting as an independent third-party payment processor. Artgence does not collect or store your full card details; card data is transmitted directly to Stripe under their PCI DSS compliant environment. Your use of the payment service is also subject to Stripe's terms and privacy policy.

9. Termination and data portability

You may terminate your account at any time through your account settings or by contacting support@artelierbusiness.com.

Data portability. Before closing your account, you may export your inventory, sales records, contacts, certificates, invoices, and other key data using the in-app export tools (CSV, PDF). We recommend you complete any exports you need prior to account closure.

Following deletion, we will erase your personal data and content subject to legal retention requirements (e.g. accounting records). We may retain anonymised aggregate data (that is, data from which you cannot reasonably be identified) for statistical, research, and product-improvement purposes, as permitted under Article 89 of the EU General Data Protection Regulation (GDPR).

We may suspend or terminate your account for material breach of these Terms, prolonged inactivity, fraudulent activity, or where required by law. Where reasonable, we will give notice and an opportunity to cure the breach before terminating.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. ARTELIER DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT AI-GENERATED CONTENT WILL BE ACCURATE OR FIT FOR PURPOSE; OR THAT APPLICATIONS PREPARED THROUGH THE SERVICE WILL BE ACCEPTED BY ANY THIRD PARTY. NOTHING IN THIS SECTION LIMITS WARRANTIES OR RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE CONSUMER PROTECTION LAW.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARTGENCE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS. NOTHING IN THIS SECTION EXCLUDES LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to indemnify and hold Artgence harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing law, consumer rights, and dispute resolution

These Terms are governed by the laws of France, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will first be attempted to be resolved through good-faith negotiation, and if unresolved, through mediation. If mediation does not resolve the dispute within 60 days, it will be submitted to the competent courts of Paris, France.

EU consumer rights carve-out. Nothing in these Terms limits or excludes any statutory rights you may have as a consumer under EU Directive 2011/83/EU on consumer rights, the French Consumer Code (Code de la consommation), or any other mandatory local consumer-protection law. Where the laws of your country of residence provide stronger consumer protections, those protections continue to apply.

GDPR data subject rights. If you are in the European Economic Area, the United Kingdom, or another jurisdiction with comparable data protection law, you have the right to access, rectify, erase, restrict the processing of, or port your personal data, and to object to certain processing. You can exercise these rights by contacting support@artelierbusiness.com. You also have the right to lodge a complaint with your local supervisory authority: in France, the Commission Nationale de l'Informatique et des Libertés ("CNIL"), at www.cnil.fr.

EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Modifications to these Terms

We may modify these Terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated to active users by email or through an in-app notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Artgence regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms; Artgence may assign these Terms in connection with a merger, acquisition, or sale of assets.

16. Referral Programme

Artelier Business operates a Referral Programme through which existing users may invite others to subscribe and earn a referral commission on qualifying payments made by referred users. Participation is governed by the following terms:

  • Referral commissions are paid as a percentage of qualifying subscription payments received from a referred user, at the rate published in-app at the time of referral.
  • Commissions are informational and discretionary; they are not a guaranteed income or a contractual entitlement to future earnings.
  • We may modify commission rates, payout schedules, eligibility criteria, or the structure of the Programme with at least 30 days' advance notice. Any commissions that have accrued and are payable at the time a rate change is announced will be paid out at the prior rate before the change takes effect.
  • Commissions are forfeited and may be reversed if the referrer or the referred user violates these Terms, abuses the Programme (including self-referrals, fictitious accounts, or any deceptive scheme), or if the referred user obtains a refund, charges back the underlying payment, or terminates their subscription within the refund window.
  • You are responsible for any taxes due on referral earnings in your jurisdiction.
  • We may suspend or terminate any participant's involvement in the Programme at our reasonable discretion, including for abuse, fraud, or violation of these Terms.

17. Sub-processors

To deliver the Service, Artgence relies on a small set of trusted sub-processors that process limited personal data on our behalf under written data-processing terms. The principal sub-processors as of the date of these Terms are:

  • Base44: platform infrastructure, database, and authentication. Data hosted in EU and US regions.
  • Stripe, Inc.: payment processing. PCI DSS compliant. Based in the United States.
  • Resend: transactional and notification email delivery. Based in the United States.
  • OpenAI, L.L.C. and other AI model providers: processing of text inputs you submit to Business Companion features. Artwork images are not transmitted to AI providers without an explicit user action (e.g. asking the Companion to caption a specific image). Based in the United States.
  • Twilio / Meta Platforms, Inc.: relay of WhatsApp messages, used only when you opt in to WhatsApp features. Based in the United States.
  • Google LLC: Calendar and Gmail integrations, used only when you authorise them via OAuth. Based in the United States.
  • Apify: limited public-source data enrichment for pricing intelligence features. Based in the European Union.

The full, current list of sub-processors and the categories of data each receives is maintained in our Privacy Policy. We will give active users reasonable advance notice of material changes to this list (for example, the addition of a new sub-processor that materially affects how personal data is processed) by email or in-app notice, in line with Section 14.

Where personal data is transferred outside the European Economic Area, we rely on appropriate safeguards (such as the European Commission's Standard Contractual Clauses) as required by Articles 44–49 of the GDPR.

18. Reporting content (Digital Services Act)

Artelier Business hosts content that its users publish: artist and gallery websites, open calls, private views, shared documents and artwork pages. Under the EU Digital Services Act (Regulation (EU) 2022/2065), our single point of contact, for users and for the authorities of the EU countries and the European Commission, is support@artelierbusiness.com, in English or French.

What is not allowed

  • Content that is illegal under EU law or the law of an EU country.
  • Content that infringes copyright, trademarks or other rights of others, including pictures of works you have no right to show.
  • Hate speech, threats, harassment, or content that harms minors.
  • Scams, fraud, misleading offers, or the sale of illegal or unsafe goods.
  • Personal data of other people published without a lawful basis.
  • Anything else that breaks Section 5 (Acceptable use).

How to report

Every public page that shows content published by a user has a "Report content" link. Anyone can use it, with or without an account. A report says where the content is, why it is illegal or breaks these Terms, and, except where the law allows otherwise, the name and e-mail of the person reporting, with a statement that the report is made in good faith. You can also write to support@artelierbusiness.com.

How we handle a report

A person on our team reads every report; no decision is made by automated means. We confirm receipt to the reporter when they give an e-mail, decide in a timely, diligent and objective manner, and tell the reporter our decision. When we remove content or restrict access to it, we send the person who published it a statement of reasons: what we did, the facts we relied on, the legal or contractual ground, and how to contest the decision.

Contesting a decision

You can contest a decision by replying to our e-mail within six months; we will review it again. You may also turn to a certified out-of-court dispute settlement body or to the courts. After a warning, we may suspend the accounts of users who often publish manifestly illegal content, and stop handling reports from people who often send manifestly unfounded ones.
